TipTip – Terms & Conditions

Important: This is a product-focused legal draft for TipTip FZ-LLC. It must be reviewed and approved by qualified legal counsel before publication or use. 

1. Introduction 

1.1 These Terms & Conditions (“Terms”) govern your access to and use of the TipTip mobile application, website, and related services (collectively, “TipTip”, the “Service” or the “Platform”) operated by TipTip FZ-LLC, a free zone limited liability company incorporated in the Emirate of Dubai, United Arab Emirates, under commercial licence number 107274, with its registered office at Premises No. DMC-BLD05-VD-G00-199, Ground Floor, Building DMC5, Dubai Media City, Dubai, United Arab Emirates (“TipTip”, “we”, “us”, or “our”). 

1.2 By creating an account, accessing, or using TipTip in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use TipTip. 

1.3 You also agree to our Privacy Policy, which explains how we collect, use, and protect your personal data. The Privacy Policy forms part of these Terms. 

1.4 If you use TipTip on behalf of a business (for example a venue, merchant, or team), you represent and warrant that you are authorised to bind that business to these Terms and that “you” in these Terms includes that business. 

1.5 TipTip is not a bank account or deposit service. We work with third-party payment service providers and/or acquiring banks (“PSPs”) to process payments and hold funds on your behalf, subject to their licences and regulatory frameworks. 


2. Definitions 

In these Terms: 

“Account” means your registered profile on TipTip. 

“Tip(s)” means voluntary payments made by a sender/payer to a recipient via TipTip. 

“Tippers / Senders / Payers” means users who send Tips via TipTip. 

“Recipients / Creators / Merchants / Teams” means users who receive Tips via TipTip. 

“Wallet Balance” means the value of cleared funds available in your TipTip wallet as shown in the app. 

“Payout” means a transfer of all or part of a Wallet Balance to the recipient’s linked bank account or other supported payout method. 

“Bank Details” means the IBAN or other payout account details that you provide through TipTip. 

“KYC” means know-your-customer and know-your-business identity verification, screening, and onboarding procedures. 

“PSP” means the payment service provider(s) and/or acquiring bank(s) we use to process card or other payments and to hold settlement funds. 

“UAE” means the United Arab Emirates. 


3. Eligibility & Account Registration 

3.1 To use TipTip, you must be at least 18 years old (or the minimum legal age in your jurisdiction if higher) and have the legal capacity to enter into a binding agreement. 

3.2 When creating an Account, you must provide accurate, current, and complete information, including your name, email address, mobile number, and business details (where applicable). 

3.3 You must keep your information up to date, particularly your contact details and Bank Details so that Payouts can be processed correctly. 

3.4 We may require you to complete KYC checks and provide documents such as identification and trade licence documents. We may refuse to open an Account, apply limits, or close your Account if you do not pass KYC checks, do not provide requested information, or we are required to do so under UAE law, PSP rules, or our risk policies. 

3.5 You are responsible for maintaining the confidentiality of your login credentials, restricting access to your device and Account, and all activity occurring under your Account whether authorised by you or not. 

3.6 You must notify us immediately if you suspect any unauthorised access, loss of device, or other security incident affecting your Account. 


4. Tip Payments & Wallet 

4.1 TipTip allows Tippers to send Tips to Recipients using supported payment methods such as payment cards and other methods enabled from time to time. 

4.2 When a Tip is sent, the Tip amount is charged to the Tipper via our PSP. Once payment is successfully authorised and captured, the corresponding net amount (after applicable fees, if any) is credited to the Recipient’s Wallet Balance. Amounts may be shown as pending or available in accordance with settlement timelines and risk checks. 

4.3 Tips are voluntary payments and, as a default, are non-refundable except where a payment fails, a technical or processing error occurs, fraud or unauthorised use is identified, or we or our PSP are required to refund due to card scheme rules, applicable law, or a valid cardholder dispute (chargeback). 

4.4 In the event of a refund or chargeback, we may reverse the relevant Tip and deduct the corresponding amount (including any related fees or penalties) from the Recipient’s Wallet Balance or from future Payouts. If the Wallet Balance is insufficient, the Recipient remains liable for the shortfall and we may recover it via future Payouts or other lawful means. 

4.5 Wallet Balances represent funds held on your behalf with our PSP or partner bank and are not bank deposits and do not earn interest. 

4.6 You may request Payouts from your Wallet Balance to your linked Bank Details, subject to successful completion of KYC, minimum payout thresholds, applicable fees and limits as communicated by us, and applicable settlement timelines. 

4.7 We may delay, block, or reverse Tips or Payouts where we suspect fraud, money laundering, terrorist financing, or other illegal activity; where a transaction may breach these Terms, UAE law, or PSP rules; where required to comply with sanctions or legal orders; or where a technical or operational issue prevents completion. 


5. Fees & Charges 

5.1 We may charge fees to Recipients for receiving Tips or for Payouts and/or to Tippers for specific payment methods or additional features. 

5.2 Applicable fees are disclosed in the app, on our website, or in separate commercial agreements or fee schedules, where relevant. 

5.3 We may change our fees from time to time. Where required, we will provide reasonable notice. Your continued use of TipTip after any fee change becomes effective constitutes your acceptance of the updated fees. 


6. Use of the Service & Prohibited Activities 

6.1 You agree to use TipTip only for lawful purposes and in compliance with these Terms, applicable UAE and international laws and regulations, and any additional policies or guidelines notified by us. 

6.2 You must not use TipTip to violate any law or sanction; facilitate fraud, scams, or deceptive practices; conduct unauthorised or illegal business including illegal products or services, drugs, weapons, unlicensed gambling, or unlicensed virtual asset activities; launder money, evade sanctions, or finance terrorism; abuse promotions or incentives; interfere with or disrupt the security or integrity of TipTip; or attempt to circumvent limits, controls, or monitoring systems. 

6.3 We may monitor your use of TipTip, including transactional patterns, as required to comply with law and to manage risk, in line with our Privacy Policy. 

6.4 We may suspend or terminate your Account, freeze funds, or refuse to process transactions where we reasonably believe there is a breach or attempted breach of this section or of applicable law. 


7. KYC, Compliance & Verification 

7.1 We and/or our PSPs may conduct KYC, anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, and similar checks in accordance with applicable UAE laws and regulations and any international standards we adopt. 

7.2 You agree to provide accurate and up-to-date information and documents when requested, cooperate with our monitoring and re-verification processes, and promptly update us if any relevant information changes. 

7.3 We may share relevant information, including personal data and transaction records, with PSPs, banks, compliance service providers, regulators, and law-enforcement authorities where necessary or required by law, as described in the Privacy Policy. 

7.4 Failure to comply with KYC or other compliance requirements may result in limits on your Account or Wallet Balance, delayed or blocked Payouts, or suspension or closure of your Account. 


8. Intellectual Property 

8.1 All rights in and to TipTip, including its software, design, trademarks, logos, and content, are owned by us or our licensors. 

8.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use TipTip solely for its intended purpose. 

8.3 You must not copy, modify, distribute, or create derivative works based on TipTip; reverse engineer, decompile, or attempt to extract source code except where permitted by law; or use our trademarks, trade names, or logos in a way that may confuse or mislead without our prior written consent. 


9. User Content 

9.1 TipTip may allow you to submit or display content such as profile details, images, descriptions, venue information, or QR codes (“User Content”). 

9.2 You are solely responsible for your User Content and warrant that it is accurate and not misleading, complies with all applicable laws, does not infringe any intellectual property or other rights of any third party, and is not defamatory, obscene, hateful, or otherwise harmful. 

9.3 By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence (with the right to sublicense) to use, reproduce, modify, display, and distribute such User Content as necessary to operate, promote, and improve the Service. 

9.4 We may remove or disable access to any User Content that we consider to be objectionable, unlawful, or in breach of these Terms. 


10. Data Protection & Privacy 

10.1 Our collection, use, and sharing of personal data is governed by our Privacy Policy, which forms part of these Terms. 

10.2 By using TipTip, you acknowledge that we may process your personal data for the purposes described in the Privacy Policy, including providing and improving TipTip, conducting KYC and AML/CTF checks, managing risk and preventing fraud, and complying with legal and regulatory obligations. 


11. Service Availability & Changes 

11.1 We aim to provide TipTip with reasonable skill and care but do not guarantee that the Service will always be available, uninterrupted, or error-free. 

11.2 We may modify or update the app or any feature, introduce new services or discontinue existing ones, and change supported payment methods or payout options at any time and without liability. 

11.3 Where a change will materially affect your use of TipTip, we will use reasonable efforts to notify you in advance through the app, email, or other appropriate means. 


12. Liability & Indemnity 

12.1 To the maximum extent permitted by UAE law, we are not liable for any indirect, consequential, punitive, or special damages; any loss of profits, revenue, business, or goodwill; loss or corruption of data; or any issues attributable to third-party services including PSPs and telecommunications providers. 

12.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UAE law. 

12.3 You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or any claim by a third party arising from your use of TipTip or your User Content. 


13. Termination & Suspension 

13.1 You may stop using TipTip at any time and may request closure of your Account via in-app settings or by contacting us. 

13.2 We may suspend or terminate your Account or restrict your access to TipTip immediately, without prior notice, if we suspect unauthorised, fraudulent, or illegal activity; you materially breach these Terms; we are required to do so by a regulator, court, or other authority; or we decide for commercial or operational reasons to discontinue TipTip. 

13.3 On termination, your right to access and use TipTip ceases immediately. We may retain records and personal data as required or permitted by law. Subject to applicable law, investigations, chargebacks, and negative balances, any remaining Wallet Balance may be paid out to you via Payout. 


14. Changes to These Terms 

14.1 We may update these Terms from time to time. When we do, we will update the “Last updated” date and, where appropriate, notify you via the app, email, or other reasonable means. 

14.2 If you continue to use TipTip after the updated Terms become effective, you are deemed to have accepted them. If you do not agree, you must stop using TipTip. 


15. Governing Law & Dispute Resolution 

15.1 These Terms, and any non-contractual obligations arising from or in connection with them, are governed by the laws of the United Arab Emirates. 

15.2 Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, without prejudice to any mandatory rules of jurisdiction that may apply under UAE law. 

15.3 Before initiating court proceedings, you agree to first attempt to resolve the dispute informally by contacting us through the support channels listed below.
