TipTip FZ LLC — Terms of Use 

Effective Date: 1 November 2025

These Terms of Use (“Terms”) are a legal agreement between you (“User”, “you”, or “your”) and TipTip FZ LLC, a limited-liability company incorporated in Dubai Internet City, United Arab Emirates (“TipTip”, “we”, “us”, or “our”). They govern your access to and use of the TipTip mobile application, website, and related software, tools, and services (collectively, the “Services”). By downloading, registering, scanning, or using TipTip in any way, you agree to be bound by these Terms, our Privacy Policy, and any other policies incorporated herein by reference. If you do not agree, you must not use the Services.

1.  About TipTip and Licensed Payment Partners 

TipTip provides a digital platform enabling people and organisations to send and receive voluntary gratuities (“Tips”) electronically. TipTip itself is not a bank, money-service business, remittance company, or payment-service provider. All fund-flow operations—including card processing, wallet creation, stored-value holding, and settlement—are executed exclusively through licensed third-party payment partners regulated by the Central Bank of the UAE (“CBUAE”) under:

  • Retail Payment Services and Card Schemes Regulation (RPSCS); and
  • Stored Value Facilities Regulation (SVF).

These licensed partners perform identity verification, payment processing, and settlement in compliance with CBUAE’s AML/CFT standards. TipTip merely provides the technology interface connecting users to those licensed entities. We do not store, control, or guarantee funds; we do not issue payment instruments; and we are not authorised to provide financial, investment, or money-transfer services.


2. Acceptance of Terms and Eligibility 

You confirm that you are at least 18 years old, are legally competent, and that your use of the Services complies with UAE law. You also confirm that all information you provide is true and complete. If you represent an organisation (e.g. a restaurant, salon, or hotel), you warrant that you have authority to bind that entity. Your continued use of TipTip following any update to these Terms constitutes acceptance of the updated version. 


3. Scope of Users and Services

TipTip connects two categories of users:

(a) Tip Recipients (Registered Users)
Individuals or organisations that create TipTip profiles to receive digital tips from customers or guests. 

(b) Tippers (Senders)
Customers or members of the public who scan a QR code or click a TipTip link to send a voluntary gratuity using their preferred payment method.
Each category’s rights and obligations are described in Parts A and B below.


PART A — TIP RECIPIENTS

4. Account Creation and Verification

To receive tips, you must create a TipTip account by providing your full name, phone number, email, and any additional details required for compliance. Licensed payment partners may conduct Know Your Customer (KYC) or Know Your Business (KYB) verification. You authorise TipTip and such partners to collect, verify, and store your data for these purposes. You agree that failure to provide accurate or complete information may result in suspension or termination of your account and withholding of funds by the licensed partner in accordance with their regulatory duties. You are solely responsible for maintaining confidentiality of your login credentials and for all actions under your account.


5. Use of the Services 

You may use TipTip solely for receiving voluntary tips. You must not: 

1. use TipTip to receive payment for goods, services, or wages;

2. request tips coercively or in violation of your employer’s policies;

3. post or share content that is defamatory, obscene, or discriminatory;

4. use the App to promote illegal acts or solicit business unrelated to tipping;

5. interfere with or reverse-engineer TipTip’s systems; or

6. engage in fraud, identity theft, or unauthorised data collection. 

TipTip reserves the right to suspend or remove content or accounts violating these rules.


6. How Tips Work

  1. Sending a Tip: A tipper scans your QR code or accesses your link, selects an amount, and authorises payment through the licensed partner’s payment gateway.
  2. Settlement: Funds are collected by the licensed partner, held in accordance with CBUAE regulations, and settled to your registered account after applicable deductions.
  3. Platform Fee: TipTip may deduct a service fee to maintain the platform. The net amount you see reflects any such deduction. The precise fee structure is internal and may vary.
  4. Timing: Settlement times vary depending on bank networks and compliance checks. TipTip cannot guarantee specific transfer times.
  5. Finality: All tips are voluntary and non-refundable except in cases of verified fraud or technical error acknowledged by the licensed partner.
  6. Taxes: You are solely responsible for reporting and paying any tax on tips you receive. TipTip does not withhold or remit taxes.
  7. Employment: Using TipTip does not create any employment, agency, or contractual relationship between you and TipTip. 

7. Chargebacks and Reversals

Cardholders may dispute transactions through their card-issuing bank. When notified of a chargeback, the licensed partner investigates under card-scheme rules. TipTip assists but has no authority over the outcome. If a chargeback is upheld, the corresponding amount may be deducted from your upcoming settlements or held by the licensed partner. You agree that TipTip is not liable for any losses or delays arising from chargeback processes. 


8. Compliance and AML/CFT

You agree to comply with UAE laws including:

  • Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating Financing of Terrorism;
  • Cabinet Decision No. 10 of 2019; and
  • CBUAE AML/CFT Guidance.

TipTip and its partners may monitor transactions for suspicious activity and report to relevant authorities when required.


9. Intellectual Property and Content

All trademarks, logos, and software are property of TipTip FZ LLC. You may use our branding only within the platform features (e.g. your profile QR code). You remain the owner of any personal content you upload but grant TipTip a non-exclusive licence to use it for displaying your profile and promoting legitimate tipping activity.


10. Data Protection and Privacy

Your data is handled in accordance with UAE Federal Decree-Law No. 45 of 2021 (PDPL) and our Privacy Policy. We share necessary information with licensed partners for identity verification, payment processing, and fraud prevention. We implement technical safeguards but cannot guarantee absolute security of data transmitted online. 


11. Termination and Account Closure

You may close your account at any time via the App or by emailing support@tiptip.app.
TipTip may suspend or terminate your account if:

  • you breach these Terms or applicable law;
  • we receive notice of fraudulent or prohibited activity; or
  • we are instructed by a licensed partner or regulator.

Upon termination, any pending settlements are processed by the licensed partner subject to their compliance review. Unclaimed balances remaining after 90 days may incur reasonable administrative fees. 


PART B — TIPPERS (SENDERS)

12. Using TipTip to Send a Tip

You can send a tip by scanning a QR code or clicking a TipTip link, entering an amount, and confirming payment. Your card or wallet will be charged by the licensed payment partner, and funds will be directed to the intended recipient’s account after deduction of any applicable fees.

All tips are voluntary and final. Once confirmed, you cannot cancel or request a refund except for verified technical errors identified by the licensed provider. 


14. Authorised Payment Processing 

When you submit a tip, you authorise the licensed partner to debit your selected payment method. TipTip never receives or stores card details. Your payment information is handled securely by partners compliant with PCI DSS and CBUAE security standards. 


15. Errors and Chargebacks

If you believe a payment was made in error, contact support@tiptip.app within 48 hours. We will coordinate with the licensed partner to review the transaction.
Cardholder disputes must be filed through your issuing bank and will be governed by that bank’s and the partner’s policies.


GENERAL TERMS APPLYING TO ALL USERS

16. Third-Party Integrations and External Links

TipTip may integrate with external systems such as payment gateways, CRM tools, or analytics services. Those systems operate under their own terms and privacy policies. TipTip is not responsible for content or failures of any external service.


17. Disclaimer of Warranties

The Services are provided “as is” and “as available.” TipTip disclaims all express or implied warranties, including fitness for a particular purpose and non-infringement.
We do not warrant that:

  • the Services will be uninterrupted or error-free;
  • defects will be corrected; or
  • results obtained from use will be accurate or reliable.

All financial execution depends on licensed partners, card networks, and banking systems beyond our control. 


18. Limitation of Liability

To the maximum extent permitted by UAE law, TipTip FZ LLC, its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill arising out of or related to the use of TipTip or the acts of licensed partners. If liability is established, TipTip’s total aggregate liability shall not exceed the service fees paid to TipTip by you in the preceding twelve (12) months. 


19. Indemnification

You agree to indemnify, defend, and hold harmless TipTip FZ LLC, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  1. your breach of these Terms or applicable law;
  2. misuse of the Services; or
  3. disputes with third parties resulting from your use of TipTip.

20. Compliance with Laws

Users are responsible for complying with all applicable UAE laws, including CBUAE regulations, consumer protection rules, and data-protection legislation. TipTip cooperates with regulators and may provide information upon lawful request.


21. Electronic Consent and Records

By clicking “Agree”, tapping “I Accept”, or continuing to use the App, you provide electronic consent to these Terms. Electronic signatures under UAE Federal Law No. 46 of 2021 on Electronic Transactions and Trust Services have full legal effect. You consent to receive communications and notices electronically via email or in-App messages.


22. Termination and Availability of Services

TipTip may modify, suspend, or discontinue any aspect of the Services at any time.
We will make reasonable efforts to notify you of major changes. We are not liable for interruptions caused by maintenance, upgrades, or force majeure events.


23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Any dispute not resolved amicably within 30 days shall be referred to final and binding arbitration under the Dubai International Arbitration Centre (DIAC) Rules. The seat of arbitration shall be Dubai and the language shall be English.


24. Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and TipTip.
  • Severability: If any provision is invalid, the remaining provisions remain effective.
  • No Waiver: Failure to enforce any term is not a waiver.
  • Assignment: You may not transfer your rights without TipTip’s consent.
  • Language: These Terms are in English and shall prevail over any translation.
  • Force Majeure: TipTip is not liable for delays caused by events beyond its control such as power failures, network outages, or government actions.
